Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BayneOS platform and related services ("Service") operated by BayneCorp, LLC dba BayneTech ("BayneTech," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

To use BayneOS, you must create an account and provide accurate, complete information. You must be at least 18 years old and have the legal authority to bind the business entity you represent. You are responsible for maintaining the security of your account credentials. You must notify us immediately at jared@baynetech.com if you suspect unauthorized access to your account.

3. Subscription Plans and Pricing

3.1 Plans

BayneOS is offered as a monthly subscription. Available plans include individual department subscriptions and an Enterprise bundle. Current pricing is published on our website or provided during the sales process. The first 10 founding clients receive a locked base price for the lifetime of their subscription.

3.2 Setup Fees

A one-time setup fee applies per department. The setup fee covers provisioning, configuration, and initial agent deployment.

3.3 AI Action Limits

Each plan includes a monthly allocation of AI Actions. Usage beyond the included allocation is billed as overage at the per-action rate specified in your plan. You can monitor your usage in the BayneOS dashboard. You can configure your account to allow overage (charged at the published rate), block AI calls at the limit, or alert only.

3.4 Billing

Subscriptions are billed monthly in advance via Stripe. Overage charges are billed at the end of each billing cycle. All fees are non-refundable except as required by law. We may change pricing with 30 days written notice. Founding client locked pricing is exempt from price increases on the base subscription.

3.5 Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. Upon cancellation, your data is retained for 30 days, then permanently deleted. You may export your data at any time before deletion using the data export feature.

4. Use of the Service

4.1 Permitted Use

You may use BayneOS for legitimate business purposes in accordance with these Terms. You may invite Team Members to access your account with the roles and permissions you assign (Owner, Manager, Viewer, Accountant).

5. Connected Integrations

When you connect third-party services to BayneOS, you authorize us to access and process data from those services on your behalf. You represent that you have the authority to grant this access and that your use of BayneOS with these integrations complies with the third-party service's terms of use.

We are not responsible for the availability, accuracy, or reliability of third-party services. If a third-party service changes its API, terms, or availability, BayneOS functionality that depends on that service may be affected. We will notify you of known disruptions through the Integration Health Monitor in your dashboard.

6. AI Agents and Automated Actions

6.1 Agent Behavior

BayneOS AI Agents perform automated tasks on your behalf, including classifying emails, drafting responses, categorizing transactions, generating reports, scheduling social media posts, and other business operations. AI-generated content is produced by third-party AI models (Anthropic Claude, OpenAI) and may not always be accurate or appropriate.

6.2 Human Oversight

Certain agent actions require your approval before execution. Approval requirements are configurable in your dashboard settings. You are responsible for reviewing and approving all AI-generated content before it is sent externally (emails, social posts, review responses, invoices). BayneOS provides approval workflows and safety controls, but ultimate responsibility for content sent from your business accounts rests with you.

6.3 Feedback and Learning

When you provide feedback on AI agent actions (thumbs up/down), BayneOS generates per-tenant rules to improve agent accuracy for your account. These rules are specific to your account and are not shared with other clients.

7. Multi-User Access

You may invite Team Members to access your BayneOS account. As the Account Owner, you are responsible for managing user roles, permissions, and access. You are responsible for the actions of all Team Members on your account. We maintain an audit log of all user actions for your review. You may remove Team Members at any time from your account settings.

8. Data Ownership

You retain all ownership rights to your data. BayneOS does not claim ownership of any data you provide or that is accessed through your connected integrations. We use your data solely to provide the Service as described in our Privacy Policy. We do not use your data to train AI models. Upon termination of your subscription and expiration of the retention period, your data is permanently deleted.

9. Intellectual Property

BayneOS, including its software, design, architecture, documentation, and branding, is the intellectual property of BayneCorp, LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription. You may not copy, modify, distribute, or create derivative works of the Service.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including third-party service outages, internet disruptions, or force majeure events. The Integration Health Monitor in your dashboard provides real-time status of all connected services.

11. Limitation of Liability

To the maximum extent permitted by law:

You agree to indemnify and hold harmless BayneCorp, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service, (b) content generated or sent through your account, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Dispute Resolution

These Terms are governed by the laws of the State of Louisiana without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Shreveport, Louisiana, under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction.

14. Modifications to the Service

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the modifications.

15. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in your BayneOS dashboard. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable End User License Agreement, constitute the entire agreement between you and BayneTech regarding the Service.
